Terms of Service

1. Acceptance of Terms

By accessing and using XDL Network™ (the "Service"), you agree to comply with these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

XDL Network™ is an online collaboration platform that facilitates direct connection between experienced technical professionals, clients, and collaborators. xdl.network operates as the public front door. Community accounts, sign-in, membership management, supporter funding, advertiser payments, and member payments are handled through community.xdl.network The Service includes:

  • Public discovery pages and contact surfaces on xdl.network
  • Community accounts and direct messaging on community.xdl.network
  • Capability publishing and visibility
  • Project collaboration and coordination
  • Membership, supporter, and advertiser account management

3. Eligibility

  1. You must be 18 years or older to use the Service.
  2. Currently, the Service is operational in the United States only.
  3. You agree not to use the Service if prohibited by applicable law.
  4. You represent that you are using your real identity and have not created accounts under false pretenses.

4. User Accounts and Conduct

Account Responsibility

  1. You are responsible for maintaining the confidentiality of your community account credentials.
  2. You are fully responsible for all activities that occur under your community account.
  3. You agree to notify support@xdl.network immediately if you suspect unauthorized account access.

Prohibited Conduct

You agree NOT to:

  • Use another person's credentials or create accounts under false identity
  • Harass, threaten, abuse, defame, or discriminate against any user or platform staff
  • Share illegal, copyrighted, or harmful content
  • Spam, phish, or use automated scraping tools without permission
  • Attempt to gain unauthorized access to accounts, systems, or data
  • Engage in fraud, deception, or exploitation
  • Post content that violates intellectual property rights
  • Bypass security measures or access control systems
  • Use the platform for money laundering, sanctions evasion, or illegal purposes

5. Intellectual Property

XDL Platform IP

  1. XDL Network™ is a trademark of XDL Network LLC.
  2. All platform content, code, design, functionality, and branding are owned by XDL Network LLC or its licensors.
  3. You may not copy, modify, distribute, or create derivative works of platform code or branding without permission.

Your Content

  1. You retain ownership of content you create (profile information, messages, published capabilities, and projects).
  2. By posting content to the Service, you grant XDL Network a non-exclusive, worldwide, royalty-free license to display, store, and reproduce your content within the Service.
  3. If you publish to a public member showcase surface, you understand that the content may be visible to the public.
  4. You represent that you own or have permission to use all content you post.

6. Membership, Payments, and Billing

Membership Plans

  1. Community accounts on community.xdl.network can browse public community surfaces, and signed-in accounts can message members subject to approval and feature access.
  2. Paid member plans require approval by XDL human review before activation.
  3. Monthly and annual paid plans are recurring subscriptions handled through community.xdl.network and its payment processors.

Billing and Refunds

  1. Membership fees are charged according to your selected plan: monthly or annual, through community account billing flows.
  2. Membership payments are generally non-refundable except as required by law or in case of service failure on XDL's part.
  3. You authorize XDL Network and its payment processors to charge your payment method on a recurring basis for approved subscriptions.
  4. You may cancel your membership at any time through your community billing flow. Cancellation takes effect at the end of your current billing period unless otherwise stated by law or processor policy.
  5. If you dispute a charge through your payment processor (chargeback), XDL reserves the right to suspend or terminate your community account pending resolution.

7. Member-to-Member Agreements

XDL Network facilitates discovery and connection. Important:

  1. All project terms, scope, rates, payment, and delivery arrangements are made directly between participants—not involving XDL.
  2. XDL is not a party to member-to-member or member-to-client work agreements.
  3. Participants are responsible for their own contracts, payment processing, tax compliance, and legal obligations.
  4. XDL does not guarantee member performance, quality of work, or successful project outcomes.
  5. Disputes between members or clients over work, payment, or delivery are the responsibility of the parties involved.

8. Human Review and Moderation

  1. XDL uses human review for member visibility, capability publishing, and platform safety.
  2. XDL may moderate, edit, or remove content that violates these Terms or community standards.
  3. XDL may suspend or terminate accounts for violation of these Terms, applicable law, or platform safety.
  4. XDL's decisions on moderation are final, though appeals may be submitted to support@xdl.network.

9. Privacy and Data Protection

  1. Your use of the Service is governed by our Privacy Policy.
  2. XDL collects and processes personal information in accordance with applicable data protection laws.
  3. You have the right to access, correct, or delete your personal data subject to legal retention requirements.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. XDL DOES NOT WARRANT THAT:

  • The Service will be uninterrupted, error-free, or secure
  • Members listed are qualified, reliable, or dependable
  • Work quality or project outcomes will meet your expectations
  • The Service is suitable for your specific purposes

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XDL NETWORK LLC SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, or punitive damages
  • Lost profits, lost data, or business interruption
  • Disputes between users or parties to work arrangements
  • Performance failures by members or clients
  • Data breaches or unauthorized access (except as caused by XDL's gross negligence)

Your exclusive remedy is termination of your account.

12. Indemnification

You agree to indemnify and hold harmless XDL Network LLC, its officers, employees, and agents from any claims, damages, losses, costs, or legal fees arising from:

  • Your violation of these Terms
  • Your use of the Service
  • Content you post or share
  • Your conduct with other users or in work arrangements
  • Your violation of applicable law

13. Termination

  1. You may terminate your community account at any time through the applicable account settings or by contacting support.
  2. XDL may terminate your community account at any time for violation of these Terms, applicable law, or for any reason, with or without notice.
  3. After termination, your profile and messages may be retained for legal and safety purposes.

14. Modifications to Service and Terms

  1. XDL may modify the Service, features, or pricing at any time.
  2. XDL may update these Terms at any time. Continued use of the Service constitutes acceptance of updated Terms.
  3. Material changes will be announced via email or notice in the Service.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Arizona, without regard to conflicts of law principles. You agree to submit to the exclusive jurisdiction of the courts of Arizona.

16. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and XDL Network regarding your use of the Service.
